Repless is a software platform that provides AI-powered sales automation tools for roofing companies, including but not limited to: instant estimates, proposal generation, automated follow-up, invoicing, payment collection, and business analytics. The specific features available to you may depend on your subscription plan.

3. Account Registration

To use our Services, you must register for an account. When you register, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Maintain the security of your password and account
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

4. Fees and Payment

Our Services operate on a performance-based pricing model. You agree to pay all fees associated with your use of the Services as described at the time of sign-up or as subsequently agreed upon.

Commission Fees: You agree to pay a percentage of the value of proposals signed through the Repless platform, as specified in your service agreement.
Payment Processing: Fees are automatically calculated and charged based on signed proposals processed through our system.
Taxes: You are responsible for all applicable taxes associated with your use of the Services.

5. Acceptable Use

You agree not to use the Services to:

Violate any applicable laws or regulations
Infringe upon the rights of others
Transmit any harmful, threatening, or objectionable content
Interfere with or disrupt the Services or servers
Attempt to gain unauthorized access to any portion of the Services
Use the Services to send unsolicited communications
Misrepresent your identity or affiliation
Use the Services for any fraudulent or deceptive purpose

6. Your Content and Data

You retain ownership of all content and data you submit to the Services ("Your Content"). By using our Services, you grant us a limited license to use, store, and process Your Content solely to provide the Services to you.

You are solely responsible for Your Content and represent that you have all necessary rights to submit it to our platform. We are not responsible for any loss or corruption of Your Content.

The Services, including all content, features, and functionality, are owned by Salient Digital, LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of our Services without our prior written consent.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SALIENT DIGITAL, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM YOUR USE OF THE SERVICES.

11. Indemnification

You agree to indemnify, defend, and hold harmless Salient Digital, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.
